נובל אנרג'י וקבוצת דלק יהיו זכאיות ל-25% בלבד מהרווחים שיפיקו מהגז בבלוק 12 בקפריסין, כך עולה ממידע שפורסם בסוף השבוע בכלי תקשורת בקפריסין. המשמעות היא כי חלק המדינה בהסכם של קפריסין עם נובל עומד על 75% לעומת 52 עד 62 אחוז בלבד בישראל, לאחר חוק ששינסקי.

קפריסין אינה מפרסמת נתונים על שיעור המס שהיא גובה משום שהוא נקבע לכל בעל רישיון בנפרד, בתום מו"מ מסחרי בינו לבין המדינה, במסגרת משטר של הסכמי חלוקת הפקה (PSC). יצויין כי האחראי על ענייני הנפט והגז בקפריסין סולון קאסיניס אמר בעבר בוועידת ישראל לעסקים כי המס בקפריסין גבוה מבישראל.

שיעור המיסוי ונוסח ההסכם הסופי נשמרים בחשאיות משום שהם עשויים להשתנות מהסכם להסכם, בעוד שבישראל השיעור קבוע בחוק. משום כך, עשוי שיעור המס שישולם בפועל להיות נמוך בהרבה מהנתון הרשמי - זאת אם ההסכם משאיר בידי היזם מרווח גדול לתיכנוני מס יצירתיים. בפרסום נאמר כי המס יוטל לאחר שהיזם יחזיר את הוצאותיו בגין פעילות החיפושים, ההפקה וההולכה של הגז הטבעי.

על-פי דיווח בכלי תקשורת קפריסאי מהימן, נתנה ממשלת קפריסין רק בשבוע שעבר את אישורה הסופי לעסקה להעברת 30% מהזכויות בבלוק 12 מנובל אנרג'י לידי שותפויות אבנר ודלק קידוחים, שבשליטת קבוצת דלק של יצחק תשובה. לאישור קדמה התלבטות קשה לאחר שהגוף המקצועי המייעץ לשר המסחר המליץ כי הזכויות יועברו לידי ממשלת קפריסין. על-פי הדיווח, ההמלצה נדחתה בסופו של דבר לאור רגישות היחסים עם נובל אנרג'י שאמורה למלא תפקיד מרכזי במיזם ייצוא הגז מקפריסין וכן לאור חשש מתגובת ישראל.

חשיבות העברת הזכויות בבלוק 12 קיבלה חיזוק בשבוע שעבר בעקבות דברי בכיר בנובל שאמר כי בשטח הבלוק יש פוטנציאל גדול לתגליות מעבר למאגר אפרודיטה שהתגלה בתחילת השנה, המכיל ככל הנראה כ-7 טריליון רגל מעוקבת (TCF) גז טבעי.

נובל מחזיקה ב-100% מהזכויות בבלוק 12 מאז זכתה בסבב הראשון של חלוקת הרשיונות בקפריסין ב-2008. לצורך אישור העסקה נזקקה קבוצת דלק לשנות את הדין הישראלי ושכנעה את רשות ניירות הערך להתיר לשותפויות חיפושי נפט וגז ישראליות להרחיב את פעילותן גם לקפריסין. לאחר שישונה ההסכם בין ממשלת קפריסין לנובל אנרג'י יחזיקו השותפויות אבנר ודלק קידוחים  בזכויות בבלוק 12 בחלקים שווים (15%) ונובל תמשיך להחזיק ב-70% מהזכויות.

כידוע, בעקבות חקיקת חוק ששינסקי הועלה חלק המדינה ברווחיהם של מפיקי הגז ל-52% עד 62%, כשהשיעור הנמוך יותר מתייחס למאגר "תמר" שלגביו נקבעו הוראות ביניים מקילות. יחד עם זאת, לא ברור כיצד מחשבת קפריסין את הרווח שממנו נגבה המס ומהו מרחב התמרון של המפיקים להכרה בהוצאות לצורך מס.

 Politics Newspaper (25th Oct – Chrysanthos Manoli) OK from the Council of Ministers for Delek- Israeli Involvement in Block 12 is Formalized

The Council of Ministers last Tuesday approved the proposal brought before it by the Minister of Trade regarding the agreement signed by Noble Energy and the Delek Group for the transfer to the Israeli group of 30% of the rights of the American Company in Block 12. What remains now is the amendments of to the Contract signed in 2008 between the Republic of Cyprus and Noble, so that the Delek Group can become officially Cyprus’s partner in the development of Block 12.

It took time

The 30% of the rights of Noble shall be divided and transferred in equal parts to Delek and Avner Oil & Gas Exploration, which belong to the same group. Based of the Contract signed by the Republic of Cyprus, the rights of the American Company consist of approx 25% of the profits from the sale of the natural gas, after recoupment of development expenses. Although both Companies have announced officially a year ago the agreement between them - and Delek has already paid millions for the drilling and other operations that took place on Block 12 - and although the application for the Cyprus Government approval of the Agreement (as provided by the 2008 Contract) was filed since 2009, resolution of this matter kept being delayed so much so, that it created serious concerns in both Companies. During the end of 2011 the Council of Ministers approved the application in part, but refused to change its contract with Noble, making it clear that Noble could not transfer to Delek any of the responsibilities which it had assumed towards the Cypriot State. New deliberations followed and the Advisory Committee which operates under the Hydrocarbons Law was asked to re-examine the matter. As recently disclosed in an article of this newspaper the Advisory Committee gave a positive recommendation regarding Noble’s application but in parallel suggested that the Minister of Trade should explore the possibility of the Cyprus Government acquiring the rights that Noble wished to transfer! This suggestion was finally dismissed since it was deemed that such a suggestion would destroy the relation between Noble and the Government at a crucial phase of the negotiations for the creation of the natural gas infrastructure in Cyprus. It was also thought that this would be considered as a hostile act from the Israeli point of view. Therefore, on Tuesday the Council of Ministers approved Noble’s request to transfer 30% of its rights to the Delek Group.  This development is regarded as further strengthening the possibility of transferring substantial quantities of natural gas from the Israeli fields at Leviathan to Vassilikos for liquefaction.

The Delek Group owns 45.34 % of the rights in Leviathan (a deposit of more than 17 tcf), while Noble owns 39.66%, the remaining 15% belonging to the Israeli Ration Oil Exploration. In Tamar (reserves of approximately 9 tcf) the Delek Group owns 41.25%, Noble 36 %, Isramco Negev 28.75% and Dor Gas Exploration 4%.
